13. Versions

This Contract shall come into effect immediately after it is signed by the representatives of the Parties hereto in duplicate, and either party hereto shall hold one copy.

8. 支付条款

买方未在规定的时间内开出信用证,卖方有权发出通知取消本合同,或接受买方对本合同未执行的全部或部分,或对因此遭受的损失提出索赔。

9. 单证

卖方应向议付银行提交以下单证:

(1)整套正本清洁提单。

(2)商业发票一式____份。

(4)质量证明书。

10. 质量/数量不符合索赔条款

如买方提出索赔,凡属品质异议须于货到目的口岸之日起30天内提出,凡属数量异议须于货到目的口岸之日起15天内提出,对所装货物所提任何异议于保险公司、轮船公司、其他有关运输机构或邮递机构所负责者,卖方不负任何责任。

11. 不可抗力

由于水灾、火灾、地震、干旱、战争或签约时卖方无法预见、控制、避免和克服的事件导致不能或暂时不能全部或部分履行本协议时,卖方不负责任。但是,卖方应该向买方提供构成不可抗力现状的证明。此类证明可以由适当的政府部门或机构的声明或证明书,或详细描述构成不可抗力事实的陈述组成。

12. 仲裁

任何因本合同而发生或与本合同有关的争议,应提交中国国际经济贸易仲裁委员会北京分会,按该会的仲裁规则进行仲裁。仲裁裁决是终局的,对双方均有约束力。

13. 文字

本合同由双方代表签字后生效,一式两份,双方各执一份。

9. Payment

By Irrevocable Letter of Credit for 80% of the total invoice value of the goods to be shipped, in favor of the Seller, payable at the issuing bank against the Sellers’ draft at sight accompanied by the shipping documents stipulated in the Credit. The balance of 20% of the proceeds is to be paid only after the goods have been inspected and approved at the port of destination.

10. Expenses

All customs duties, taxes and other charges incurred on the merchandise, containers or documents shall be the responsibility of the Seller.

11. Force Majeure

The Seller shall not be responsible for late delivery or non-delivery of the goods due to flood, fire, draught, earthquake, seaquake, war or any other events which could not be predicted, controlled, avoided or overcome when sign the Contract. However, in such case, the Seller shall provide to the Buyer confirmation of the existence of the circumstances constituting Force Majeure.

12. Arbitration

All disputes in connection with the execution of this contract settled friendly through negotiation. In case no settlement can be reached, the case then may be submitted to China International Trade Arbitration Commission for arbitration in accordance with the provisional rules of procedure promulgated by the said arbitration commission. The arbitration committee shall be final and binding upon both parties. And the arbitration fee shall be borne by the losing parties.

This Contract is signed in duplicate for each party. The Contract is both language of equal validity.
